Discovery Communications (Nasdaq:DISC) will acquire Scripps Networks (Nasdaq:SNI) in a transaction valued at $14.6 billion, including debt. The transaction of pay $90 per Scripps share represents a premium of 34 percent over the companies July 18 closing price. The acquisition expects upwards of $350 million in cost synergies, and would see Discovery assume Scripps’ $2.7 billion in debt. Scripps has reported LTM revenues for the period ended March 31 2017 of $3.4 billion and LTM EBITDA of $1.6 billion, representing an LTM revenue multiple of 4.3x and an LTM EBITDA multiple of 9.3x.
