Megafon will acquire a 16 percent equity stake in Mail.ru for a reported $740 million, valuing the company at nearly $4 billion. The acquisition represents a 24 percent premium over Mail.ru’s December 22nd closing price, and will provide Megafon with a 63.8 percent majority voting stake in the company. The agreed consideration calls for Megafon to pay $640 million upon completion with a deferred cash payment of $100 million to be paid one year later. Mail.ru has LTM revenues for the period ended June 30th of $604 million and EBITDA of $205 million, representing an LTM revenue multiple of 6.3x and EBITDA multiple of 18.5x.

Internet Brands will acquire the Automotive Specialty Finance Leads Business of Car.com for $3.2 million. Car.com’s Specialty Finance Leads business reported 2016 calendar year revenues of $6.4 million and EBITDA of $0.5 million, representing a revenue multiple of 0.5x and an EBITDA multiple of 6.4x.
